Terms of Use
1. Introduction
The SmartPOS Developer Portal is a restricted website located at https://docs.smartpos.worldline-solutions.com that provides developers with essential programming elements for SmartPOS and Tap on Mobile, related information and documentation (the “ Developer Portal ”). It is provided, operated and administrated by Worldline Switzerland , a company under Swiss law with its registered office at Hardturmstrasse 201, 8021 Zürich, Switzerland, registered in the Commercial Register of Canton Zürich under ID (VAT) number CHE-105.855.222 (“ Worldline ”, " we " or " us "). The Developer Portal is for businesses only and is not available to consumers or any person under the age of 18.
Your access to and use of the Developer Portal are subject to the following Terms of Use. By accessing and using the Developer Portal, you acknowledge that you have read, understand, accept and agree to these Terms of Use and become a user (“ User ”, “ you ” or “ your ”). Additional terms and/or registration requirements may apply to specific elements, which can be found in the documentation section of that element.
2. Access
Access to the Developer Portal requires you to sign a confidentiality agreement. You will then need to create a password for your account, which will be provided by Worldline. You must treat your login credentials as confidential, and not disclose them to any third party. You are responsible for ensuring that all persons who access our Developer Portal through your internet connection are aware of and comply with these Terms of Use. If you believe that your credentials have been lost or stolen or that someone may attempt to use them to access the Portal without your consent, you must notify us promptly.
We have the right to disable your User account, at any time, if in our opinion you have failed to comply with any of the provisions of these Terms of Use. We shall also have the right to deactivate and delete any data held on the User account after ninety (90) days of inactivity. Worldline shall not be liable to the User nor any third party for any termination of User access or deletion of User data. We reserve the right to restrict or withdraw your access to some or all parts of the Developer Portal. We also reserve the right to modify, suspend or close the Developer Portal without notice at any time. We will not be liable if for any reason our Developer Portal is unavailable at any time or for any period.
3. Use
The Developer Portal provides Users with free programming elements, related information and documentation that can be downloaded for use under these terms.
You make use of the Developer Portal and its content at your own risk. You must comply with all applicable legal and technical requirements as well as all instructions, guidelines, systems, software and other requirements specified and/or made available by Worldline in the Developer Portal. You must refrain from creating any content that is unlawful or otherwise objectionable or that may damage Worldline’s reputation or the integrity of the SmartPOS Store.
You must not:
access without authority, interfere with, disrupt or damage any part of the Developer Portal including any equipment, infrastructure or software used to provide it;
use the Developer Portal in a way that is unlawful or fraudulent or breaches any applicable local, national or international law or regulation;
use the Developer Portal to send, upload, download, use or re-use any material which does not comply with these Terms of Use;
use the Developer Portal to transmit, or facilitate the transmission of, any unsolicited or unauthorised advertising or promotional material or any other form of similar solicitation (spam);
knowingly transmit, send or upload any data or material that contains viruses, Trojan horses, worms, time bombs, keystroke loggers, spyware, adware or other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware;
copy, transmit, distribute, display, publish, lease, sell, license, modify, adapt or create derivative works from or use any content on the Developer Portal for any other purpose than under these Terms of Use;
decompile, reconstruct or reverse engineer any software, code or test data on the Developer Portal;
engage in activities which hinder or prevent others from accessing and/or using the Developer Portal;
attempt unauthorised access to or negatively affect the operation and security of the SmartPOS Store, Worldline services or systems;
use the Developer Portal for scalability tests; and
use or send production data or other sensitive data when performing testing activity in the Developer Portal.
4. Intellectual Property
The Developer Portal and all material published or available therein are the property of Worldline and/or its licensors and are protected by intellectual property laws. Our status and that of any identified contributors as the authors of the material on the Developer Portal must be acknowledged at all times.
Nothing in these Terms of Use is intended to transfer any intellectual property rights to the User.
You are granted a personal, limited, revocable, non-exclusive, non-transferable and non-sublicensable right to use the Developer Portal and the material published or available therein for the duration of your account for the following purposes only:
to obtain information about the integration with Worldline and the products and services Worldline offers;
to access API keys to establish the integration with Worldline;
to use the Developer Portal functionalities in accordance with these Terms of Use.
Any other (non-)commercial use is expressly excluded.
If you use the Developer Portal or any part thereof in breach of these Terms of Use, your right to use the portal will cease immediately and you must, at our option, return or destroy any downloads, copies or prints of the materials you have made.
Worldline's trademarks, service marks and logos used in the SmartPOS Store, including the Developer Portal, are Worldline's property and you may not use them without our prior written consent.
You warrant that you own the intellectual property rights in any material you might submit to the Developer Portal and that such material does not infringe or violate the intellectual property rights of any third party. You shall remain solely responsible for such material and Worldline shall have no liability for the same. You will indemnify us and hold us harmless from and against any costs or damages incurred by us as a result of any claim or action brought or threatened by any third party alleging that any material provided or used by you in connection with the Developer Portal infringes any intellectual property or other right of any third party.
You grant Worldline a limited, non-exclusive, royalty-free right to use such material to the extent necessary and to operate the Developer Portal. We may ask you to provide additional information about any material you have created or submitted to the Developer Portal for security, compliance, technical, commercial or promotional reasons. In such event, we may, at our discretion, contact you to assess whether such material conforms to the requirements, specifications, standards and guidelines applied by us and, as part of that assessment, we may ask you to enter into an agreement with us. However, you acknowledge that we may independently create materials, APIs and other products or services that may be similar to any materials you may have created or submitted. Nothing in these Terms of Use will limit or prevent us from creating and fully exploiting such materials, APIs and other products and services without any obligation to you.
5. Changes
We update the Developer Portal regularly and may change its contents including these Terms of Use or any additional terms that apply to specific elements available through the Developer Portal at any time. Where possible, we will give you prior notice of any such action, but we reserve the right to do so without prior notice.
Changes to these Terms of Use will be published in this section of the SmartPOS Store and will take effect no earlier than 30 days after publication. However, changes required by law may be effective immediately. If you do not agree to any changes to these Terms of Use or the additional terms of a specific element, you must stop using the Developer Portal or such element. You understand and agree that if you use the Developer Portal or a specific element after the date on which these Terms of Use or any additional terms become effective, your use will be deemed to be an acceptance of those changes. Changes may affect your use of the Developer Portal, but we will not be liable for any loss or damage resulting therefrom. Any material of Worldline on the Developer Portal may become outdated at any time and we are under no obligation to update such material.
You must inform us immediately if your account information changes or becomes outdated.
6. Confidentiality
All material published or available in the Developer Portal is confidential information of Worldline and/or its licensors. If and to the extent that you become aware of or receive this confidential information, you must keep such information strictly confidential and not disclose it to any third party, both during and after your registration.
You must protect this confidential information from any use, distribution, or disclosure except as expressly permitted under these Terms of Use. You will use the same standard of care to protect the confidential information as you use to protect your own confidential and proprietary information, but in any event not less than a reasonable standard of care.
In case of a disclosure of our confidential information in breach of these Terms of Use, you shall immediately report the disclosure to us in writing and save, defend, indemnify and hold us harmless from and against any and all liability and damages arising therefrom.
Any breach, threatened breach or attempted breach of confidentiality will result in irreparable harm and significant injury to Worldline, the scope of which would be difficult to ascertain. Therefore, Worldline shall be entitled to equitable relief, including an immediate injunction, in the event of such breach, threatened breach or attempted breach of these terms, in addition to any other remedies that may be available at law, including without limitation, the recovery of expenses, costs and attorney’s fees arising out of such breach, threatened breach or attempted breach.
7. Suspension & termination
Failure to comply with these Terms of Use may result in our taking all or any of the following actions (non-exhaustive list):
immediate, temporary or permanent withdrawal of your right to access and/or use the Developer Portal;
immediate, temporary or permanent removal of any posting or material uploaded by you to the Developer Portal;
issue of a warning to you;
legal proceedings against you for compensation of our damages and reimbursement of all costs on an indemnity basis (including, but not limited to, reasonable administrative and legal costs) resulting from the breach;
termination of the Added Application Agreement with immediate effect.
or any other action we reasonably deem appropriate.
8. Liability and indemnification
The User shall indemnify Worldline against all claims by third parties arising out of or in connection with any application or material provided or used by the User in connection with the Developer Portal or the User's use of the Developer Portal.
Worldline, its parent company, other members of our group of companies, employees and suppliers will in no event be liable for any special, incidental or consequential damages incurred by any User in connection with or arising out of the Developer Portal, including but not limited to reputational damages, loss of business, loss of profits, loss of revenue, loss of real or anticipated savings, loss of data, loss of production, loss of opportunities, and loss of goodwill.
In no event shall Worldline's total and aggregate liability for direct damages, whether based on breach of contract or tort, exceed 500 EUR (five hundred euros) per calendar year.
9. Data Privacy
The Privacy Policy explains our treatment of your personal data and the protection of your privacy.
10. Disclaimer
The Developer Portal and the material published or available therein are provided "as is" without warranty of any kind. We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, completeness, availability, security, compatibility and non-infringement. We do not warrant that the Developer Portal and/or any material published or available therein will be error-free, that access thereto will be uninterrupted, that defects will be corrected or that any API (or the servers that make such content available) or tools are free of viruses or other harmful components. You waive any claim against us in this respect.
Worldline will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of our Developer Portal or to your downloading of any material posted on it, or any website linked to it.
